These Terms and Conditions apply to and govern all contracts between Treat Republic Corporate ("The Seller", "We", "Us") and The Buyer ("You", "Your"). By placing an order with us, you agree to these terms in full.
1. Introduction
These Terms & Conditions serve as the complete and exclusive agreement between Treat Republic Corporate and The Buyer. Any variation from these terms, including correspondence via email or other forms of communication, will only be valid if expressly agreed in writing by Treat Republic Corporate.
Unless previously agreed in writing, all orders must be paid in full before production or approved under a credit facility. By submitting an order, you acknowledge that you have read, understood, and agreed to these legally binding terms.
2. Pricing & Quotations
- All prices are exclusive of VAT, which will be added at the prevailing rate.
- Prices on our website are correct at the time of publication but may be subject to change without prior notice.
- Any bespoke quotations provided are valid for 28 days, after which we reserve the right to amend pricing.
- If an order is placed for a bespoke product, the final price may be subject to adjustments due to factors such as exchange rate fluctuations, production costs, or material availability.
- Expedited delivery requests that require overtime or additional costs will be charged accordingly.
- Work carried out at the Buyer's request, including experimental or additional design work, may incur extra charges.
3. Artwork, Proofing & Approvals
- The Buyer is responsible for ensuring that all artwork supplied is correct, legible, and print-ready.
- We provide digital proofs for approval before printing. Once approved, we accept no responsibility for errors in content, colour variations, or formatting issues.
- Due to variations in equipment, paper, and inks, minor colour differences between proofs and final prints are considered acceptable.
- If a high level of colour accuracy is required, we recommend ordering wet proofs, which provide the closest match to final production.
- The Seller will not be responsible for any financial loss, confidentiality breaches, or reputational damage arising from electronic transmission of proofs.
4. Delivery & Lead Times
- Estimated delivery times are provided in good faith but are subject to change due to production or courier delays beyond our control.
- The Seller is not liable for late deliveries due to external factors such as customs clearance, courier delays, or force majeure events.
- The Buyer must inspect deliveries immediately upon receipt. Any damages or shortages must be reported within 7 days.
- If the Buyer refuses to accept delivery or fails to provide necessary details for shipping, we reserve the right to store the goods at the Buyer's expense.
5. Order Acceptance & Payment Terms
- Orders are considered accepted only once payment has been received in full, unless otherwise agreed.
- Customers with an approved credit facility must settle invoices within 30 days of the end of the invoice month.
- Late payments may incur interest charges of 4% per week until the outstanding amount is settled.
- For orders over £500, we reserve the right to request a 50% non-refundable deposit at the time of order placement.
6. Returns, Refunds & Cancellations
Cancellations
- Pro-forma orders may be cancelled before payment is made.
- Plain stock (non-personalised) orders may be cancelled or returned within 14 days, provided the items are unused and in original packaging.
- Bespoke, personalised, or custom-made products cannot be cancelled once production has started.
Returns & Refunds
- Returns are accepted within 14 days of delivery for non-personalised items.
- Custom-printed or engraved items are non-returnable, as they are made to order.
- If an issue arises, you must notify us within 7 days of receipt, including supporting photographs.
- If an error is found to be our fault, we will offer a reprint or a partial refund for the affected portion of the order.
- Refunds will be processed within 30 days of receiving and inspecting returned goods.
7. Ownership & Risk
- Ownership of goods remains with Treat Republic Corporate until full payment has been received.
- The risk of goods passes to The Buyer upon delivery or attempted delivery.
8. Liability & Limitation
- Treat Republic Corporate shall not be liable for indirect, consequential, or financial losses resulting from errors, delays, or defective goods.
- Our maximum liability is limited to the value of the goods supplied.
- The Buyer is responsible for ensuring that all branded goods comply with legal and regulatory requirements in their intended use.
9. Discount Codes & Promotions
- Discounts and promotional codes are at our discretion and cannot be applied retroactively.
- Only one discount code may be used per order.
- We reserve the right to withdraw promotions at any time.
10. Force Majeure
- We shall not be liable for failure to fulfil contractual obligations due to events beyond our control, including but not limited to natural disasters, strikes, supply chain disruptions, or government regulations.
11. Governing Law
- These Terms & Conditions are governed by English law and fall under the exclusive jurisdiction of the courts of England and Wales.
